Who Needs Audited Financial Statements Under UAE Corporate Tax Rules?

For Tax Periods starting on or after 1 January 2025, Ministerial Decision No. 84 of 2025 requires audited financial statements for a Taxable Person that is not a Tax Group when Revenue exceeds AED 50 million during the relevant Tax Period. A Qualifying Free Zone Person must also prepare and maintain audited financial statements.

A Tax Group must prepare and maintain audited special-purpose financial statements in the form and under the procedures specified by the FTA. These Corporate Tax rules are separate from any audit requirement set by a licensing authority, lender, shareholder agreement or other contract.

This distinction matters because not every request for financial statements requires the same report. We confirm the trigger, reporting period and receiving authority before the file is prepared.

2026 Sharjah Free-Zone Update

FTA Decision No. 6 of 2026

FTA Decision No. 6 of 2026 applies to Tax Periods starting on or after 1 January 2026. A Qualifying Free Zone Person carrying on the qualifying activity of distributing goods or materials in or from a Designated Zone must obtain an agreed-upon procedures report from an independent external auditor. The report follows ISRS 4400 and is submitted to the FTA no later than 30 days after the Corporate Tax return deadline, unless the FTA sets another date.

This is especially relevant to qualifying distribution businesses in Sharjah because Hamriyah Free Zone and Sharjah Airport International Free Zone appear on the FTA's published Designated Zones list. The extra procedure is activity-specific. It is not a blanket requirement for every company operating in those zones.
