    For an individual shareholder, SHAMS currently lists a passport and Emirates ID or UAE visa where applicable.

  • Corporate shareholder

    Corporate shareholders need a wider document pack. This can include the certificate of incorporation, memorandum of association, a recent certificate of incumbency or good standing, supporting ownership documents, a board resolution and an ownership structure chart.

A UAE resident juridical person incorporated on or after 1 March 2024 generally has three months from incorporation, establishment or recognition to apply for Corporate Tax registration.

  • The 0% question

    Qualifying Income, not the licence location

    For a SHAMS free-zone company, the 0% Corporate Tax position needs to be assessed carefully. A Qualifying Free Zone Person can benefit from 0% on Qualifying Income when the required conditions are met. Income that falls outside the qualifying rules can face Corporate Tax at the applicable rate. Qualifying Free Zone Persons also cannot elect for Small Business Relief, so free-zone status and Small Business Relief should never be treated as the same tax benefit.

  • VAT

    AED 375,000 mandatory, AED 187,500 voluntary

    VAT is separate. UAE-resident businesses generally need mandatory VAT registration when taxable supplies and imports exceed AED 375,000 over the previous 12 months or are expected to exceed that level within the next 30 days. Voluntary registration is available when the relevant taxable supplies, imports or taxable expenses exceed AED 187,500, subject to the FTA rules.
