What Applies After Incorporation

Three things the offshore market still gets wrong, and what the current rules actually say.

Corporate Tax for UAE Offshore Companies

A UAE offshore company should not be treated as automatically exempt from Corporate Tax.

The Federal Tax Authority states that juridical persons incorporated under UAE laws fall within the UAE Corporate Tax framework. RAK ICC also confirms that its entities must register with the FTA and comply with UAE Corporate Tax rules.

For UAE juridical persons established on or after 1 March 2024, applicable Corporate Tax registration timelines need to be reviewed from the date of incorporation or establishment.

If an ADGM or other free zone entity is selected, free zone status alone does not guarantee a 0% Corporate Tax result. A Qualifying Free Zone Person can benefit from 0% Corporate Tax on Qualifying Income when the required conditions are satisfied, while income outside the qualifying rules is subject to the applicable Corporate Tax treatment. That is why we review tax together with the company structure instead of treating it as a separate issue after incorporation.

Outdated advice

What About Economic Substance Regulations?

Older offshore company websites still tell businesses that they automatically need annual Economic Substance Regulation notifications and reports. That information is outdated for current periods.

The UAE Ministry of Finance confirmed that Economic Substance reporting requirements were cancelled for financial years ending after 31 December 2022 following Cabinet Decision No. 98 of 2024.

This does not remove your Corporate Tax, accounting, beneficial ownership, AML or other applicable compliance obligations. Bestax checks the current rules that apply to your structure instead of relying on an old offshore company checklist.

VAT for an Offshore or International Company

VAT depends on the transactions carried out by the business, so it should be assessed separately from Corporate Tax.
