Choose the Right Entity for Your Goal
Panama offers five main entity types, and each one serves a different purpose. The right choice depends on what you want to protect, how you want to operate, and how much privacy or flexibility you need.
Requires minimum three directors (any nationality, natural or corporate persons), three officers (President, Secretary, Treasurer President and Secretary must be different individuals), and one shareholder post-incorporation. Standard authorized capital is $10,000 (not required to be paid up). Shareholder names remain private. Nominee directors and shareholders are permitted. No mandatory annual meetings. Duration can be perpetual. This is overwhelmingly the most popular structure for offshore and international use because it combines shareholder anonymity, flexible management, territorial tax benefits, and a 97-year track record of legal stability.
Requires minimum two partners (names are public), one or more managers, no minimum capital. Ownership is in participation quotas rather than shares. Transfer of quotas requires 75% partner approval. Best for closely held businesses where public disclosure of owners is acceptable or desirable, and increasingly preferred when banking relationships demand transparency.
Requires minimum $10,000 initial patrimony, minimum three Foundation Council members, and a registered agent.
