Bestax helps you decide whether your goals are better served by a recognised UAE offshore company or an Abu Dhabi structure. UAE Structure
Tell us the activity, where your customers are, who the shareholders are and what the company will own, and we will confirm whether offshore, ADGM, a free zone or mainland fits before anything is filed.
Choose the Right Structure Before You Register

International Business or Holding
A traditional UAE offshore structure can suit international ownership, holding and cross-border structuring when you do not need a normal operating presence in the Abu Dhabi mainland market.
Abu Dhabi-Based Holding Structure
If the company itself needs to be established within Abu Dhabi, an ADGM structure can be considered. ADGM provides structures including Special Purpose Vehicles designed for holding assets and isolating financial and legal risk.
Local UAE Operations
If you need employees, premises, direct UAE commercial activity or a normal operating licence, we assess mainland or appropriate free zone options instead. Abu Dhabi officially provides mainland and free zone routes for businesses operating in the emirate.
Regulated Activities
Financial services and other regulated activities need additional licensing and regulatory assessment. We check the proposed activity before recommending a company structure.
Abu Dhabi Offshore: What This Setup Actually Means
The term Abu Dhabi offshore is widely used by investors searching for a company connected to Abu Dhabi without needing a standard mainland operation. However, the legal structure behind that search needs to be identified correctly.
This distinction matters because registration, banking, Corporate Tax, ownership documentation and permitted activities depend on the company you actually establish.
Bestax does not recommend a structure simply because it sounds cheaper or appears easier to register. We first identify where you will conduct business, where your customers are located, what the company will own, who the shareholders are and whether you need a UAE operating presence.
For an Abu Dhabi offshore plan, this assessment helps prevent you from ending up with a company that cannot perform the activities you intended.
RAK International Corporate Centre
A UAE corporate registry located in Ras Al Khaimah, responsible for international company structures registered through its framework.
ADGM
An international financial centre in Abu Dhabi with its own company structures, including SPVs and holding structures.
Offshore Company Formation in Abu Dhabi: Choose the Right UAE Route
When people ask for offshore company formation in Abu Dhabi, there are usually two different objectives behind the request.
Option 1: A Traditional UAE Offshore Structure
Generally considered when the purpose is international structuring, ownership or holding rather than normal commercial operations from Abu Dhabi. RAK ICC is one recognised UAE corporate registry used for international company structures; its companies are incorporated through registered agents and operate under their applicable company regulations.
Option 2: An Abu Dhabi ADGM Structure
When an Abu Dhabi legal presence is important, we assess whether an ADGM entity is better suited to the objective. ADGM SPVs are passive holding companies designed to ring-fence specific assets and liabilities, and ADGM also provides other legal structures for investments, holding arrangements and family wealth planning.
Option 3: Mainland or Free Zone Company
If your goal is to actively sell, employ staff, operate from premises or conduct regular UAE business, an operating company is generally more suitable than a traditional offshore structure.
Our offshore company formation in Abu Dhabi service therefore starts with structure selection, not paperwork. We tell you which route fits the business before money is spent on incorporation.
Who Should Consider an Offshore Structure?
An offshore or holding structure can be useful when there is a genuine commercial, investment or ownership reason behind it.
International Business Owners
We help founders structure entities used as part of international business groups where the UAE company has a clearly defined role.
Holding Companies
A separate entity can be used to organise ownership of shares or other investments, subject to the applicable laws and regulatory requirements.
Property and Investment Owners
Investors can use appropriate corporate structures to separate investments and liabilities. The exact structure depends on the asset, jurisdiction and ownership arrangement.
Family Businesses
Holding companies, SPVs and foundations can form part of succession and family wealth structures. ADGM itself provides SPVs, holding companies, trusts and foundations for different structuring requirements.
Intellectual Property Owners
A holding structure can be considered for intellectual property, but tax treatment and permitted activity must be reviewed carefully before incorporation.
Groups Expanding Internationally
Businesses entering new markets can use holding and subsidiary structures to organise ownership, investment and risk.
Setup Your Business in an Abu Dhabi Offshore Structure the Right Way
We help you setup your business in an Abu Dhabi offshore structure only after checking whether an offshore route actually supports your objective.
This is important because choosing the wrong setup can create problems later with banking, tax registration, contracts, investors or UAE operations.
We Check Your Intended Activity
We establish what the company will actually do, not just the activity name you want on the application.
We Review Where Revenue Will Come From
We look at customer locations, expected transactions and how money will move through the company.
We Review Ownership
We identify the shareholders, beneficial owners, directors and authorised persons who need to appear in the corporate and compliance records.
We Review Your UAE Presence
If you require employees, office space, residence visas or regular UAE operating activity, we assess whether an operating structure is more suitable.
We Review Tax Before Incorporation
Tax is considered before the company is formed, not after invoices start being issued.
Benefits of Choosing the Right Offshore Structure
The real benefit of offshore planning is not secrecy or automatic tax exemption. It is having a legal structure that fits a defined commercial or investment purpose.
Clear Separation of Assets and Liabilities
An appropriately designed holding or SPV structure can separate particular assets and liabilities from other business operations. ADGM specifically describes its SPVs as structures used for ring-fencing assets and liabilities.
100% Foreign Ownership
Suitable UAE structures can provide full foreign ownership without requiring a UAE individual to own part of the company.
International Structuring
A UAE company can form part of a wider international ownership or investment structure when there is a genuine commercial purpose and the arrangement meets applicable tax and compliance requirements.
No Unnecessary Operating Setup
A holding structure does not need to be designed like a normal trading company when there is no requirement for day-to-day local operations.
Professional Corporate Structure
Formal company ownership can make investments, group ownership and succession arrangements easier to document and manage.
Access to UAE Professional Services
Your company can use UAE accounting, tax, legal, corporate administration and banking services subject to each provider's onboarding requirements.
Abu Dhabi Offshore Company Setup: Our Step-by-Step Process
Your Abu Dhabi offshore company setup starts with understanding the purpose of the company. We then build the registration and compliance process around that purpose.
The Initial Structure Assessment, in Full
- Your proposed business activity
- Countries where you will operate
- Expected customers and suppliers
- Shareholder nationalities
- Expected annual transactions
- Assets the company will hold
- Whether you need staff or premises
- Banking requirements
- Long-term ownership plans
This tells us whether an offshore, ADGM, free zone or mainland structure is appropriate.
Initial Structure Assessment
We discuss the activity, the countries, the customers and suppliers, the shareholders, the expected transactions, the assets, the staff and premises, the banking and the long-term ownership plan — the nine points listed beside this.
Jurisdiction and Entity Selection
We compare suitable UAE structures and explain the practical differences in registration, permitted use, tax, banking and ongoing compliance.
Shareholding and UBO Review
We map the shareholders, directors, authorised signatories and Ultimate Beneficial Owners. UAE companies are subject to beneficial ownership rules under the applicable regulatory framework, so an offshore structure should never be sold as an anonymous company with no disclosure obligations.
KYC and Document Preparation
We prepare the application file and identify missing documents before submission.
Incorporation Application
We coordinate the company formation process with the relevant registry, authority or registered agent according to the structure selected.
Corporate Documents
Following approval, the relevant incorporation and corporate documents are issued according to the entity type.
Corporate Tax Review
We assess the company's UAE Corporate Tax registration and compliance requirements immediately after formation.
Banking Preparation
We organise the company information normally requested during corporate banking due diligence, including ownership, business purpose, source of funds and expected transactions. Bank account approval remains the decision of the financial institution.
Ongoing Compliance
We help you understand renewal, bookkeeping, tax, UBO and other continuing obligations relevant to your structure.
Before your Abu Dhabi offshore company setup begins, you therefore know what happens after incorporation as well as what is needed to register.
Documents Required for Offshore Company Setup
The exact documents depend on the chosen registry, ownership structure, nationality and proposed activity.
For the business itself, we can also request contracts, a business plan, expected transaction details, customer and supplier information or supporting evidence explaining the commercial purpose. We tell you what is actually required for your application rather than sending a generic document list.
For individual shareholders, we normally start by reviewing
- Passport copy
- Proof of residential address
- Personal or professional profile
- Contact details
- Source of funds information
- Proposed company activity
- Ownership percentage
- Supporting business information
Where a corporate shareholder is involved, additional documents can include
- Certificate of incorporation
- Constitutional documents
- Shareholder register
- Director details
- Board resolution
- UBO information
- Group structure
- Attested or certified documents where required
What Applies After Incorporation
Three things the offshore market still gets wrong, and what the current rules actually say.
Corporate Tax for UAE Offshore Companies
A UAE offshore company should not be treated as automatically exempt from Corporate Tax.
The Federal Tax Authority states that juridical persons incorporated under UAE laws fall within the UAE Corporate Tax framework. RAK ICC also confirms that its entities must register with the FTA and comply with UAE Corporate Tax rules.
For UAE juridical persons established on or after 1 March 2024, applicable Corporate Tax registration timelines need to be reviewed from the date of incorporation or establishment.
Bestax helps you with
- Corporate Tax registration
- Tax status assessment
- Accounting setup
- Tax return preparation
- Related-party transaction review
- Transfer pricing compliance
- Record keeping
- Tax planning within UAE law
If an ADGM or other free zone entity is selected, free zone status alone does not guarantee a 0% Corporate Tax result. A Qualifying Free Zone Person can benefit from 0% Corporate Tax on Qualifying Income when the required conditions are satisfied, while income outside the qualifying rules is subject to the applicable Corporate Tax treatment. That is why we review tax together with the company structure instead of treating it as a separate issue after incorporation.
Outdated advice
What About Economic Substance Regulations?
Older offshore company websites still tell businesses that they automatically need annual Economic Substance Regulation notifications and reports. That information is outdated for current periods.
The UAE Ministry of Finance confirmed that Economic Substance reporting requirements were cancelled for financial years ending after 31 December 2022 following Cabinet Decision No. 98 of 2024.
This does not remove your Corporate Tax, accounting, beneficial ownership, AML or other applicable compliance obligations. Bestax checks the current rules that apply to your structure instead of relying on an old offshore company checklist.
VAT for an Offshore or International Company
VAT depends on the transactions carried out by the business, so it should be assessed separately from Corporate Tax.
Mandatory
AED 375,000
Of taxable supplies and imports, for UAE-resident businesses
Voluntary
AED 187,500
Available from this level when the applicable conditions are satisfied
Different rules apply to non-resident businesses making taxable supplies in the UAE. We review whether your company's transactions bring it within UAE VAT registration or filing requirements.
Corporate Bank Account Support
Incorporating the company and opening its bank account are two separate processes. No consultant can guarantee bank approval.
Banks conduct their own KYC, AML and commercial reviews. The quality of your company file is therefore important.
We help organise information including
- Company ownership
- UBO details
- Source of funds
- Source of wealth where requested
- Business activity
- Expected annual turnover
- Expected transaction volume
- Customer countries
- Supplier countries
- Contracts and invoices where available
- Website and business profile
- Group structure
We also identify obvious inconsistencies before the banking process starts. This gives the bank a clearer explanation of what the company does and why the account is required.
Offshore vs ADGM vs Free Zone vs Mainland
Choosing a company based only on price often creates bigger costs later. The right structure depends on what you need the company to do.
If you are unsure which one you need, we compare the options before you register anything.
